Consists of restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of Oscar Health, Inc. (the "Issuer") Class A common stock. The RSUs vest on the earlier to occur of (i) the one-year anniversary of the grant date and (ii) the date of the next annual meeting of stockholders of the Issuer following the grant date, subject to continued service through the applicable vesting date. To the extent vested, the RSUs will be settled in shares of the Issuer's Class A common stock on the earliest of (i) the six-month anniversary of the director's separation from service, death or disability and (ii) within five days following a change in control of the Issuer. | Victoria Family LLC is wholly owned by the fiduciaries of The Victoria 2020 Trust. Mr. Sankaran is the Investment Adviser to The Victoria 2020 Trust.
