Each restricted stock unit ("RSU") represents the contingent right to receive, once vested and as soon as practicable after the Reporting Person no longer serves as a director, one share of Issuer's common stock. The closing price of the Issuer's common stock on the date of this RSU award was $3.59. | This restricted stock unit ("RSU") award was granted pursuant to the TETRA Technologies, Inc. Third Amended and Restated 2018 Equity Incentive Plan. The Award will cliff vest on the one-year anniversary of the Grant Date. The Reporting Person has elected to defer settlement of RSUs in accordance with his deferral election form to the earlier to occur of (i) the consummation of a change in control of the Issuer and (ii) the date of his separation of service from the Issuer. Vested shares will be delivered to the reporting person on the settlement date unless the Issuer elects to settle the RSUs in cash, or a combination of shares and cash, in the Issuer's sole discretion.
