On March 25, 2026, (the "Grant Date") restricted stock units ("RSUs") were granted to the Reporting Person, (the "Grant Date") as approved by the Board of Directors on March 19, 2026, under the Issuer's 2009 Incentive Stock and Awards Plan, as amended and restated. The RSUs are subject to time-based vesting conditions, vesting 33% on the first anniversary of the Grant Date (1,497 RSUs), 33% on the second anniversary of the Grant Date (1,497 RSUs), and 34% on the third anniversary of the Grant Date (1,543 RSUs). | Each Restricted Stock Unit represents the right to receive, at settlement, one share of common stock. | This transaction represents the settlement of Restricted Stock Units in shares of common stock on their scheduled vesting date. | Shares withheld by Issuer to satisfy the minimum statutory tax withholding requirements on vesting of Restricted Stock Units.
