Consists of a grant of a restricted stock unit ("RSU") award under the Issuer's Non-Employee Director Compensation Policy. Each RSU represents a right to receive one share of the Issuer's Class A Common Stock upon vesting. One-third of these RSUs shall vest upon the earlier of (A) May 1, 2026 or (B) the date of the Issuer's next annual meeting of stockholders, and the remaining two-thirds will vest in equal monthly installments over the next two years thereafter, subject to the Reporting Person's continued service relationship with the Issuer through each applicable vesting date. | A portion of these shares represent RSUs.
