These restricted stock units ("RSUs") will vest in three equal annual installments on the earlier of (i) the first, second and third anniversary date of the grant or (ii) the date of the first, second and third annual meeting of stockholders following the grant, respectively, subject to the reporting person's continued service on the board of directors as of each of the applicable vesting dates. The RSUs are also subject to a deferral election by the reporting person and shares will not be issued until the designated deferred settlement date. | RSUs are settled in shares of Class A Common Stock on a one-for-one basis.
