Acquired upon the completion of, and pursuant to the transactions contemplated by, the Agreement and Plan of Merger, dated as of January 29, 2025, by and among Portman Ridge Finance Corporation, a Delaware corporation ("PTMN"), Logan Ridge Finance Corporation, a Maryland corporation ("LRFC"), Portman Ridge Merger Sub, Inc., a Maryland corporation, Sierra Crest Investment Management LLC, a Delaware limited liability company and Mount Logan Management LLC, a Delaware limited liability company (the "Merger Agreement"). Pursuant to the Merger Agreement, each share of LRFC's common stock, par value $0.01 per share, was converted into the right to receive 1.5 shares of PTMN's common stock, par value $0.01 per share (subject to adjustment for cash payable in lieu of fractional shares).
