On March 23, 2026, the reporting person sold owned shares of ("Shares") and options to purchase ("Options") Common Stock of EyePoint, Inc. (the "Company") to the Duker Family 2024 Irrevocable Trust, (the "Family Trust"), in exchange for a promissory note in the principal amount of $2,398,220.93, representing the fair market value of the Shares and Options. For Shares, the fair market value was determined by utilizing the average of the high and low per share trading price on the date of the sale. For Options, the fair market value was determined using a Black Scholes model. The securities held in the Family Trust are for the benefit of the reporting person's children. The reporting person's spouse is a trustee of the Family Trust. The reporting person disclaims beneficial ownership of the security and the filing of this report is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose. | These securities are held in a trust for the benefit of the reporting person's children.
