The restricted stock will vest in full on the first anniversary of the date of grant. | Includes unvested shares of restricted stock that would be forfeited upon the Reporting Person's termination of service on the Issuer's Board of Directors. | The Reporting Person is a co-trustee of The Hislop Revocable Trust u/a/d 12/19/1997 (the "Trust"), the beneficiary of which is a member of the reporting person's immediate family. As such, the Reporting Person may be deemed to beneficially own all of the shares held by the Trust; however, the Reporting Person disclaims beneficial ownership of the shares held by the Trust except to the extent of his pecuniary interest therein.
