Represents the award of restricted stock units ("RSUs") by the issuer. Subject to the reporting person's continued employment with the issuer, 33% of the RSUs vest on each of June 30, 2026 and June 30, 2027 and 34% vest on June 30, 2028. Each RSU represents a contingent right to receive one share of the issuer's Class A common stock (the "Common Stock").
