On January 13, 2025, pursuant to that certain Employment Transition Agreement entered into by IAC Inc. and the Reporting Person, IAC Inc. transferred 5,008,600 fully vested shares of ANGI Class B Common Stock to the Reporting Person, all of which the Reporting Person converted into shares of ANGI Class A Common Stock on a one-for-one basis in accordance with their terms. Effective on March 24, 2025, ANGI effected a 1-for-10 reverse stock split of its common stock (the "Reverse Stock Split"). The amount of securities reported on this Form 4 have been adjusted to reflect the Reverse Stock Split. | On March 31, 2025, the Reporting Person received 168,917 shares of ANGI Class A common stock in connection with the completion of the spin-off by IAC Inc. ("IAC") of ANGI by means of a special dividend (the "Distribution") of all of the shares of Class A Common Stock then held by IAC to holders of its common stock and Class B common stock (together, the "IAC Stock"). This special dividend was paid through the distribution of 42,080,232 shares of Class A Common Stock on March 31, 2025 to holders of record of IAC Stock as of the close of business on March 25, 2025 (the "Record Date"), on a pro rata basis. Holders of IAC Stock as of the Record Date received 0.5251 shares of Class A Common Stock for each share of IAC Stock then held.
