The reported transaction represents an award of fully vested restricted stock units which were settled for shares of the Issuer's Class A common stock, as payment for the reporting person's services as a member of the board of directors, in lieu of payment of a cash retainer. The number of shares awarded was equal to the cash compensation payable for the preceding calendar quarter, divided by the average closing price of the Issuer's Class A common stock for the thirty (30) calendar day period ending on the last day prior to the grant date, rounded down to the nearest whole share.
