Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of common stock of Sunnova Energy International Inc. ("Common Stock"). | Such shares of Common Stock are owned directly by Seis Holdings LLC. The reporting person serves as the Chief Executive Officer for, and he and his spouse hold membership interests in, Seis Holdings LLC. The reporting person disclaims beneficial ownership of this Common Stock except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such Common Stock for purposes of Section 16 or for any other purpose. | The RSUs vested on the one year anniversary of the date of grant subject to the reporting person's continued service through that date. Common Stock will be delivered to the reporting person no later than 15 days after the RSUs vest.
