The Reporting Person was granted restricted stock units ("RSUs"), which represent a contingent right to receive one share of Common Stock for each RSU. The RSUs are subject to a service-based vesting requirement, which shall be satisfied over a 4-year period commencing on May 1, 2025. 1/16th of the RSUs shall vest on June 20, 2025, and the remainder shall vest in equal quarterly installments thereafter, provided that the Reporting Person remains in continuous service on each such vesting date.
