(the "Issuer") in connection with that certain subscription agreement by and between the reporting person and the Issuer, dated August 11, 2025, as amended on August 15, 2025 (the "Subscription Agreement"), pursuant to which the reporting person purchased pre-funded warrants (the "Warrants") that are exercisable for shares of the Issuer's common stock, par value $0.0001 per share. The Warrants will be automatically exercised on a cashless basis upon the receipt of the Stockholder Approval (as defined in the Subscription Agreement). | The reported securities are held in the name of Charles Schwab & Co.
