Constitute restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuers common stock upon vesting. 25% of the RSUs shall vest on February 15, 2027 and 6.25% of the RSU shall vest on each quarterly anniversary thereafter, subject to the Reporting Person's continuous service to the Issuer through each vesting date. | On February 18, 2025, the Reporting Person was granted performance stock units ("PSUs"), the vesting of which is subject to the achievement of certain performance criteria and service-based vesting criteria. Each PSU represents a contingent right to receive one share of the Issuers common stock upon vesting. On February 27, 2026, the Board of Directors of the Issuer certified the performance results.
