Represents the grant of restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock upon settlement. The RSUs will vest on the earlier of (i) the date of the next annual meeting of stockholders of the Issuer following June 12, 2025 or (ii) June 12, 2026, subject to the Reporting Person's continued service to the Issuer through the applicable vesting date. | The shares are held of record by TDB Capital LLC, for which the Reporting Person is a managing member and shares voting and investment control with respect to such shares.
