Mr. Gibson was elected to the Board of Directors on March 3, 2026. Each share is represented by a Restricted Stock Unit ("RSU"). The RSUs will vest in equal annual installments on March 3rd of each of 2027, 2028, and 2029, provided such Reporting Person continues to serve as a director through the applicable vesting dates. | One-third of the shares subject to the option will vest on March 3, 2027, which is the one year anniversary of Mr. Gibson joining the Board, and the remainder will vest in equal monthly installments thereafter for 24 months on the same date of the month as his initial start date, provided he continues to serve as a director through each vesting date.
