Represents the grant of Annual Deferred Stock Units to Directors pursuant to the Qualcomm Incorporated 2025 Director Compensation Plan. Deferred Stock Units are 100% vested on the grant date. The units will be settled in shares of the Company's common stock (and partially in cash if election is made within 60 days of the date of grant) in accordance with the grant agreement on the earlier of (1) March 18, 2028 (2) death, (3) disability, or (4) a change in control. If an election is made to settle the units partially in cash, such partial cash settlement will be reported on a subsequent Form 4 (if applicable) as a disposition to the Issuer on the settlement date.
