The Reporting Peron is the chief executive officer and chairman of the board of directors of Factor and disclaims beneficial ownership of these securities, except to the extent of his proportionate pecuniary interest therein. | The shares reported herein give effect to the pro rata distributions of shares by Erigen LLC for no additional consideration to its members, subsequent to the Reporting Person's last Section 16 filing reporting ownership of the Issuer's Common Stock. As the distribution of such shares constituted only a change in the form the Reporting Person's ownership in such shares, the Reporting Person was not required to report the distribution pursuant to Section 16.
