Represents restricted stock units ("RSUs") granted to the Reporting Person under the Rocket Lab Corporation Amended and Restated Non-Employee Director Compensation Policy, and the Rocket Lab Corporation 2021 Stock Option and Incentive Plan. Such RSUs will vest in full on the earlier of (i) the date of the Issuer's next Annual Meeting of Stockholders and (ii) the one-year anniversary of the date of grant, subject to the Reporting Person's continuous service as a member of the Board of Directors through such date.
