Represents restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's common stock. The RSUs shall vest over three years, in three substantially equal annual installments on February 15, 2027; February 15, 2028; and February 15, 2029, subject to the Reporting Person's continued service to the Issuer through each such vesting date.
