On June 5, 2025, Cibus, Inc. (the "Issuer") entered into a Securities Purchase Agreement (the "Purchase Agreement") with Rory Riggs, the Chairman of the Company's Board of directors, in connection with a public offering conducted on a reasonable "best efforts" basis (the "Offering"). Pursuant to the Purchase Agreement, the Issuer agreed to issue and sell to Mr. Riggs 5,714,286 shares of Class A Common Stock, par value $0.0001 per share, at the public offering price of $1.75 per share. The Offering is expected to be fully consummated on or about June 9, 2025.
