Subject to the Director's continued service, on the earlier of (a) the first anniversary of the Grant Date and (b) the date of the Company's next annual meeting of the shareholders following the Grant Date. Notwithstanding the foregoing, any unexpired, unvested Option will become vested as to the total number of shares underlying the Option if a Triggering Event (as defined in the Cibus, Inc. 2017 Omnibus Incentive Plan (the "Plan")) occurs and the Director provides continued service through the date of such Triggering Event.
