These restricted stock units ("RSUs") were granted pursuant to the Issuer's 2019 Equity Incentive Plan (the "Plan"). Each RSU represents a contingent right to receive one share of common stock upon the vesting of the unit. The RSUs will vest in full on April 1, 2027, subject to the Reporting Person's continuous service to the Issuer as of such date.
