These restricted stock units ("RSUs") were granted pursuant to the Issuer's 2019 Equity Incentive Plan (the "Plan"). Each RSU represents a contingent right to receive one share of common stock upon the vesting of the unit. These units will vest in substantially equal quarterly installments over two years measured from April 1, 2026, subject to the Reporting Person's continuous service to the Issuer as of such date. The Reporting Person may elect to defer settlement of the RSUs upon vesting, subject to the requirements of Rule 409A. | These options were granted pursuant to the Plan.
