The shares reported in this transaction represent Restricted Stock Units ("RSUs"). Each RSU represents the contingent right to receive one share of the Issuer's Class A common stock. The RSUs shall vest as follows: 9.8% of the RSUs will vest on June 10, 2026, the one year anniversary of our last annual meeting of stockholders (the "Initial Vesting Date"), 45.1% of the RSUs will vest on the one year anniversary of the Initial Vesting Date and 45.1% of the RSUs will vest on the two year anniversary of the Initial Vesting Date, subject, in each case, to continued service as a director of the Issuer through each such vesting date. | These shares represent RSUs.
